Terms of Service

1.1 The Portal

Upon receipt of the Initial Deposit, Agency will provide Client access to a Notion Project Portal. This portal serves as the single source of truth for all interactions, tasks, updates, and communication.

1.2 Communication

All project-related requests must be submitted via the Notion Request Log. The Agency does not process requests via email, text, or social media.

1.3 Updates

Agency will provide status updates twice weekly: Monday (The Weekly Plan) and Friday (Summary of Work Completed).

1.4 Weekends

Agency is offline on weekends. Communication sent between Friday 5:00 PM and Monday 9:00 AM will be addressed on the next business day.

2.1 Standard Tier

Our standard rates apply to projects governed by this Agreement. Syio Labs does not sign external NDAs for Standard Tier projects. This tier allows Syio Labs to display the project in its professional portfolio.

2.2 Private Tier (NDA)

If the Client requires the signing of a custom NDA or wishes to restrict Syio Labs from displaying the work in its portfolio, the project is classified as Private Tier.

• Premium: Private Tier projects incur a 30% surcharge on the total project cost.
• Purpose: This covers the administrative overhead of legal review, siloed data management, and the opportunity cost of restricted portfolio rights.

3.1 Payment Split

• 50% Initial Deposit: Required to secure a slot and unlock the Notion Portal. Non-refundable once work begins.
• 25% Milestone Payment: Due upon delivery of the second major deliverable (Visual Designs/Mockups).
• 25% Final Payment: Due upon project completion and prior to live deployment or file handover.

3.2 Late Payments

Failure to pay milestones within 5 business days will result in an immediate pause of all work.

4.1 Review Cycles

The Project Price includes three (3) consolidated review cycles.

4.2 Extra Reviews

Additional rounds of revisions requested beyond the included three cycles will be billed at $100 per cycle.

4.3 Validation

Agency reserves the right to decline requests that fall outside the original Scope of Work (SOW). Valid out-of-scope requests require a signed Change Order and additional fees.

5.1 Resource Provision

Client is responsible for providing all copy, imagery, and brand assets.

5.2 The 10-Day Pause Rule

If requested resources or feedback are not provided within 10 business days, the project is placed "On-Hold." Re-starting is subject to the Agency's next available slot.

5.3 Agency Assistance

If Client requests Agency to produce missing resources (e.g., copywriting), this incurs additional costs and a timeline extension.

6.1 The Grace Period

Client has a 7-day grace period following the project completion date to settle the final invoice.

6.2 Storage Fees

If final payment is not received within 7 days of completion, the project incurs a Holding & Storage Fee per week. Assets will not be released until all storage fees are paid.

6.3 Abandonment

Projects left "On-Hold" or unpaid for more than 30 consecutive days will be terminated and all payments forfeited.

7.1 Third-Party Fees

Client is responsible for all third-party costs (Hosting, Domains, Plugin Licenses, AI Image/Video Generation credits).

7.2 30-Day Warranty

Agency provides a 30-day technical warranty post-launch to fix bugs in the original code. This does not cover issues caused by Client-led updates or third-party software changes.

8.1 Confidentiality

Both parties agree to keep proprietary business information and project strategies confidential.

8.2 Portfolio Rights

For Standard Tier projects, Syio Labs reserves the right to display the work in its portfolio. For Private Tier projects, this right is waived upon receipt of the 30% premium payment.
